These Terms & Conditions ("Terms") constitute a binding legal agreement between you and DIGITALCODING, LLC ("Company," "we," "our," or "us"). These Terms govern your access to and use of our website and associated consulting services.

By accessing or using our services in any way, you agree to be bound by these Terms. If you do not agree, do not use our services.


1. Eligibility & Binding Agreement

You represent that you are at least 18 years old and have legal capacity to agree to these Terms. This document is a legally enforceable contract. Using the services signifies your acceptance.


2. Acceptable Use

You must use our services in compliance with all applicable local, national, and international laws. You agree not to use our services for hacking, penetration testing without authorisation, or other malicious activities.


3. Services "AS-IS" Disclaimers

All services are provided "AS-IS" and WITHOUT WARRANTY of any kind. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.


4. Limitation of Liability

To the maximum extent permitted by law, DigitalCoding shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of our services. Your sole remedy for dissatisfaction is to discontinue use.


5. Indemnification

You agree to indemnify and hold harmless DigitalCoding from any claims, damages, costs, and expenses arising from your violation of these Terms or misuse of our services.


6. Professional Consulting Services

6.1 Scope of Services. All consulting engagements will be defined in a separate Statement of Work ("SOW"). The scope, deliverables, timeline, and fees will be specified in that document.

6.2 Payment. Payment terms and schedules are specified in the applicable agreement. Unless otherwise agreed, invoices are due within 30 days of receipt.

6.3 Intellectual Property. Upon full payment, you receive a licence to use deliverables for your intended business purpose. DigitalCoding retains ownership of pre-existing tools, frameworks, and methodologies.

6.4 Confidentiality. Both parties agree to maintain confidentiality of proprietary information shared during an engagement for a period of two (2) years after termination.

6.5 No Guarantee of Results. Consulting services are provided on a best-efforts basis. Results depend on many factors beyond our control, including your implementation and third-party dependencies.

6.6 Termination. Either party may terminate an engagement with 14 days written notice. You will pay for all work completed up to the termination date.


7. Intellectual Property

All content on this site, including text, images, logos, and branding, is owned by DigitalCoding or licensed to us. You may not copy, redistribute, or resell any content without permission.


8. Privacy & Data Protection

Your use of the site is governed by our Privacy Policy.


9. Changes to Terms

We may update these Terms at any time. Continued use of our services constitutes acceptance of the updated Terms.


10. Governing Law

These Terms are governed by the laws of the State of Florida, USA. Any disputes shall be resolved in a court of competent jurisdiction in Broward County, Florida.
